BY REGISTERING FOR AN ACCOUNT OR BY ACCESSING OR USING THE SERVICES, YOU AGREE TO THESE TERMS OF USE AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

 

BookInnerRetreats is a website and service to connect global retreats, festivals, properties and facilitators with people looking for these opportunities to enable personal and spiritual growth.

The services are accessible at www.bookinnerretreats.com (Site).

 

By using the Site or Services, you agree to comply with these Terms and Conditions and to be legally bound by them, whether you become Owner or Guest. Any use of the Site is governed by the Terms.

 

 

1. Definitions

 

Guest: Individuals booking retreats, festivals, workshops, consultations and/or properties for themselves or others.

 

Fees: Fees that individuals listing their services (Owners) will be subject to upon receiving bookings.

 

Materials: Written and graphical content provided by or through the Site, including, without limitation, text, photographs, illustrations, and designs, whether provided by BookInnerRetreats or any other third party.

 

Owner: Any individual offering services and products to others on the BookInnerRetreats platform.

 

Services: BookInnerRetreats directory of retreats, festivals, properties and facilitators for Guests; and support for Owners, including booking, sales, invoicing, and communication tools.

 

Site: Collection of online tools, software, and website used to provide BookInnerRetreats Services.

 

Users: Guests and Owners collectively.

 

 

 

 

1. Services

 

BookInnerRetreats offers a platform that helps connect individuals providing retreat, festivals, properties and facilitation services with those wishing to access these services. BookInnerRetreats is not a party to any agreement between these individuals. All dealings are solely between the respective parties and BookInnerRetreats makes no representations and warranties on behalf of any Users (including but not limited to the accuracy, completeness, cost, quality, or timeliness of any goods or services provided by any Owner) and will have no liability for any interactions between Owners and Guests. Notwithstanding the foregoing, BookInnerRetreats serves as the limited authorised agent of Owners for the purpose of accepting payments from individuals including Guests on behalf of Owners, and is responsible for transmitting such payments to the Owners. Each Owner hereby appoints BookInnerRetreats as the Owner’s limited agent solely for the purpose of collecting payments made by individuals and Guests on behalf of the Owner. BookInnerRetreats has no control over and does not guarantee the existence, quality, safety, or legality of any goods or services posted by Owners on the Site; the truth or accuracy of any advertisements; the ability of Owners to sell goods or services; the ability of Guests to pay for any goods or services. BookInnerRetreats does not warrant or guarantee that any goods or services offered through the Service will meet a Guest’s requirements.

 

BookInnerRetreats do not monitor the Owners and Guests and disclaims all liability in this regard.

 

BookInnerRetreats support do not constitute a guarantee that your question or problem will be solved but only a commitment from BookInnerRetreats to try to provide you with helpful information.

 

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. Any changes will be posted on this page, with the date of the last revision indicated at the top of the page. Your continued use of the services after changes are posted constitutes your acceptance of the new Terms of Service. It is your responsibility to review these Terms of Service periodically for any changes.

 

1. Eligibility

You must be at least 18 years old to access or use our services. By using the Site or Services you expressly warrant that you are an adult over 18 years old.

2. No Warranty

BookInnerRetreats does not warranty any listing or Service. You understand that the Materials on the Site are for information only and in the responsibility of Owners and Guests.

 

You acknowledge that in case you would seek any legal remedy for actions or omissions of Owners, or any third parties, you will not claim any liability against BookInnerRetreats.

3. Limitation of Liability.

 

In no event shall BookInnerRetreats be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of our services or platform.

 

4. Third party terms

BookInnerRetreats may offer the opportunity to purchase products and services from third parties. You acknowledge that such products and services are offered and sold to you by one or more third parties. For more information, please refer to the applicable third party’s terms of sale and privacy policy that are presented as part of the checkout process.

5. Interactions with other Users

4.1 You have sole responsibility when interacting with other Users. Our Services provide a platform for Users to book services and communicate with one another. BookInnerRetreats is not a party to, has no involvement or interest in, makes no representations or warranties as to, and has no responsibility or liability with respect to any communications, transactions, interactions, disputes or any relations whatsoever between you and any other Users, person or organisation. You are solely responsible for your interactions with other Users of our Services. We reserve the right, but have no obligation, to monitor interactions between you and other Users of our Services.

4.2 Identity Verification. We cannot and do not confirm each Users’s identity. You are solely responsible for determining the identity and suitability of others with whom you may interact through our Services. BookInnerRetreats does not represent or warrant that our tools are sufficient to determine whether it is appropriate for you to interact with another User. Further, we do not endorse any persons who use or register for our Services. We do not investigate or verify any member’s reputation, conduct, morality, criminal background, or any information users may submit to the Services.

6. Owners Registration and Obligations

 

When registering as an Owner, you agree and confirm that:

 

You are responsible for your own account security and you will not share your account details with any other person;

 

You will use your real name, address and contact details;

 

All other information you provide will be accurate and true;

 

You either own the service you are offering through BookInnerRetreats, or have suitable permissions to offer it;

 

You warrant that you have the full right and authority to enter into, execute, and perform your obligations under this Agreement and that no pending or threatened claim or litigation known to it would have a material adverse impact on its ability to perform as required by this Agreement.

 

As a registered Owner, you acknowledge that:

 

You are using BookInnerRetreats entirely at your own risk, and we expressly exclude all liability for any loss or damage you, your company, your reputation, or your property may suffer as a result of using BookInnerRetreats;

 

BookInnerRetreats do not screen the identity of any Guest, and you are solely responsible for ensuring that any person you accept is who they say they are;

 

You are solely responsible for complying with the relevant rules and laws in your jurisdiction (if any) especially with regard to tax, insurance and travel documents such as visas.

 

You will keep your listing up to date, and if no longer valid or required, promptly update it or remove it from the Site.

 

As part of your listing, you are required to upload a photo of your service. When doing so:

 

You grant us a non-exclusive, transferable, sub-licensable, royalty free, worldwide licence to use that photo on your listing and elsewhere on or in connection with BookInnerRetreats;

 

You warrant that it is your own photo and our use of the photo will not infringe the rights of any other person.

 

BookInnerRetreats will remove or edit your listing if we believe (in our sole discretion) that it infringes or violates another person’s rights or any laws in any country.

 

7. Guests Registration and Obligations

 

You may be required to register with BookInnerRetreats in order to access and use certain features of the Services.

 

When registering as a Guest, you agree and confirm that:

 

You are responsible for your own account security, and you will not share your account details with any other person;

 

You will use your real name, address and contact details;

 

You agree to provide current, complete, and accurate purchase and account information for all purchases made on the Site;

You agree to promptly update your account and other information, including your email address and credit card numbers, and expiration dates so that we can complete your transactions and contact you as needed;

 

All other information you provide will be accurate and true.

 

You acknowledge that:

 

Though we actively encourage it, we cannot guarantee that any Owner or service you contact will respond to your query or be available at any particular time or on any particular dates;

 

You are fully responsible for investigating whether your chosen Owner or service is suitable for you and your needs;

 

You are using BookInnerRetreats entirely at your own risk, and we expressly exclude all liability for any loss or damage you, your family, your reputation, your business or your property may suffer as a result of using BookInnerRetreats;

 

You are solely responsible for complying with the relevant rules and laws in your and the service jurisdiction (if any).

 

BookInnerRetreats reserves the right to remove and terminate any account without warning.

 

BookInnerRetreats reserve the right to refuse any order placed by you.

 

BookInnerRetreats advises after booking a service through the Site, that you should wait for confirmation directly from the Owner before booking any air travel or related arrangements. This includes but is not limited to providing the Owner with any medical or health information they may require before confirming your space on a retreat.

You must be tolerant and be sympathetic with any rules set by the Owner and service.

 

8. Users conduct

 

By using the Site and Service, you agree that you are solely responsible for compliance with any law, rule, regulation, that may apply to your relationship with any Owner, Guest or any third party. You acknowledge that you will not:

 

Violate these Terms, any law or regulation, or any order of a court.

 

Use the Site or Services for illegal purposes,

 

Use the Site or Services for commercial purpose or other purpose that would violate the Terms or any law;

 

Harm in any way BookInnerRetreats reputation, brand or image including through unauthorised use of the Site or Services, infringement of BookInnerRetreats’s intellectual property rights, passing off, registration and/or use of BookInnerRetreats domain names, trademarks or logos or any other identifier that would create a confusion with BookInnerRetreats or imply a connection with BookInnerRetreats;

 

Harass any Owner, Guest or collect or store any personal data about them other than for purposes of providing the service or engage in any abusive behaviour;

 

Offer a Guest a service without any permission or authorization, or submit any listing with false or misleading information;

 

Register for more than one Owner account or Guest account on behalf of an individual other than yourself, or falsify or misrepresent yourself;

 

Recruit or solicit any Owner or Guest to join third-party services or websites that are competitive to BookInnerRetreats, without BookInnerRetreats prior written approval;

 

Send the same text to multiple members via the messaging system. This is considered spam. There are automated filters which can detect if these types of message are being sent, which can lead to messaging being suspended on any account where this is detected;

 

Use any software or devices to access in any way any authorised web pages on the Site or attempt to harm, decipher, decompile any of the software products used to provide the Site or Services;

 

Damage the Site or Services, including, through the use of viruses, Trojan horses, forged routing or electronic mail address information or similar methods or technology;

 

Collect or retrieve data from our Site to compile, directly or indirectly, a collection, database, directory, or otherwise;

 

Encourage, promote, or assist any third party in doing any of the foregoing.

 

8.1 International travel. As a User you have the responsibility for the following: you meet all requirements of foreign entry, and your necessary documents for travel (passports, visa, and others) are valid and organised for foreign entry.

 

8.2 Health. You are encouraged to consult with your doctor for any necessary or recommended inoculations prior to your travel. You have responsibility for the following: taking any and all recommended medications, receiving the required inoculations, meeting entry requirements for health, and following medical advice given for your travel.

 

8.3 Risk. We help you book retreats in other countries, but this does not represent or warrant that travel to these areas is risk-free or even advised. We are not liable for any losses or damages that may occur or result from travelling to or through any locations.

BookInnerRetreats reserves the right, without prior notice and at any time, (i) to remove or disable access to the Site or Services at its sole discretion, in case of violation of the Terms; (ii) to investigate and prosecute any violation of the Terms (iii) to disclose any of your information if required to do so by law.

 

9. Posted Materials

 

You are solely responsible for video, images, information, data, text, music, sound, photographs, graphics, messages, or other Materials that you upload, post, publish or display (hereinafter, “upload”) or email or otherwise use via the Service.

 

BookInnerRetreats reserves the right to investigate and take appropriate legal action against anyone who, in BookInnerRetreats’s sole discretion, violates this provision, including without limitation, removing the offending Materials from the Site, suspending or terminating the account of such violators, and reporting you to the law enforcement authorities.

 

You agree not to use the service to post, display or share Materials that: (i) infringes the intellectual property or other proprietary rights of any party; (j) contains software viruses or any other computer code, files, or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (k) poses or creates a privacy or security risk to any person; (l) constitutes unsolicited or unauthorised advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation; (m) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libellous, invasive of another’s privacy, hateful racially, ethnically or otherwise objectionable; or (n) in the sole judgement of BookInnerRetreats, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose BookInnerRetreats or its users to any harm or liability of any type.

 

10. Submissions

Separate and apart from User Materials, we welcome questions, comments, suggestions and ideas about BookInnerRetreats and our Services. If you provide a Submission, whether by email or otherwise, you agree that it is non-confidential (unless BookInnerRetreats states otherwise in writing) and shall become the sole property of BookInnerRetreats. BookInnerRetreats shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of Submissions for any purpose, commercial or otherwise. You acknowledge that BookInnerRetreats is not obligated to provide acknowledgment or compensation to you in exchange for Submissions.

11. Third-Party Content

In using our Services, you may be exposed to content from other members or third parties (“Third-Party Content”), either on our Services or through links to third-party websites. We do not control, endorse or adopt any Third-Party Content and shall have no responsibility for Third-Party Content, including material that may be misleading, incomplete, erroneous, offensive, indecent or otherwise objectionable. You must evaluate, and bear, all risks associated with Third-Party Content, including without limitation, profiles of other Users of our Services.

12. Misconduct

 

If you interact with anyone through our Services who you feel is acting or has acted inappropriately, including but not limited to offensive, violent or sexually inappropriate behaviour, who steals from you or engages in any other disturbing conduct, we strongly encourage you to immediately report such person to the appropriate authorities and then to BookInnerRetreats. Please note that although we encourage you to report misconduct, we are not responsible or liable for our members’ actions, and we are not obligated to take any action.

13. Safety

 

You acknowledge that BookInnerRetreats is not, in any way, responsible for guaranteeing the safety of any Users or any person associated with them.

 

BookInnerRetreats reserves the right to ask for a mandatory ID check on your account.

 

If and as permitted by applicable law, we may, but have no obligation, to ask you to provide identification or other information and undertake checks designed to help verify your identity or background.

 

We do not warrant that verification, identity or background checks conducted on Users will identify past misconduct or prevent future misconduct. Any references to a User being “verified” (or similar language) indicate only that the User has completed a relevant verification or identification process, and nothing else.

 

14. Privacy

 

By using the Site and Service you agree that BookInnerRetreats Data Protection policy governs BookInnerRetreats collection and use of your personal data and information.

 

15. Termination

If you breach these Terms or any other policies or community standards we have, we may, in our discretion and at any time:

(a) terminate your access to our Services.

(b) deactivate or delete your account and all related information and files in such account and/or

(c) bar your access to any of such files or Services.

 

In any of these instances, you are not permitted to register for another BookInnerRetreats account without our prior written permission.

16. Price changes

When you make a booking, you agree to pay the cost of the offer, including any charges and taxes that may apply.

Obvious errors and misprints are not binding. For example: if you book a service that was mistakenly offered for US$1, we may simply cancel that offer and refund anything you’ve paid.

16.1. Payment. We will be responsible for managing your payment and ensuring the completion of your transaction with the Owner In this case, your payment constitutes final settlement of the ‘due and payable’ price. Your payment may be taken or pre-authorised when you book your Service, and it may be non-refundable. So before you book, please check the Owner’s Upfront Payment and Cancellation policy, which we don’t influence and aren’t responsible for. If you know of or suspect any fraud or unauthorised use of your Payment Method, please contact your payment provider, who may cover any resulting charges, possibly minus an excess.

16.3 Default Currency. All fees due under this agreement will be paid in U.S. Dollars.

We will store your Payment Method details for future transactions after collecting your consent.

16.2 Refunds. If you cancel a Booking or don’t show up, any cancellation/no-show fee and any refund will depend on the Owner’s cancellation/no-show policy. Some Services can’t be cancelled for free, while others can only be cancelled for free before a deadline.

 

17. Owner Fees

 

As an Owner, you may agree to pay a pre-selected percentage of the money you receive from purchases made by Users of your goods and services through the Site, and you will pay BookInnerRetreats a percentage of each such transaction, as set forth in further detail in the payment plan section of your Agreement. If you dispute any charges by BookInnerRetreats you must let BookInnerRetreats know within thirty (30) days after the date that BookInnerRetreats initiated the charge.

 

17.1 Fee changes. BookInnerRetreats reserve the right to change fees. If BookInnerRetreats does change fees,  BookInnerRetreats will provide notice of the change in an email to you at least 30 days before the change is to take effect. Your continued use of the Service after the price change or fee adjustments becomes effective constitutes your agreement to pay the changed amount.

 

17.2 Taxes. All Fees and other amounts payable by Users under this Agreement are exclusive of taxes and similar assessments. Commercial User is responsible for all taxes, duties, and charges of any kind imposed by any federal, provincial, territorial, or local governmental entity on any amounts payable by Users hereunder.

 

17.3 Payment Processor. As part of the Services, Users receive payment processing services and are subject to the Terms of Service for the respective Payment Processor. By accepting these Terms of Service and operating as a User of BookInnerRetreats, you agree to be bound by the Payment Processor Terms of Service, as the same may be modified by the Payment Processor from time to time. As a condition of BookInnerRetreats enabling payment processing services through the Payment Processor, you agree to provide  BookInnerRetreats with accurate and complete information about you and your business, and you authorise BookInnerRetreats to share it and any transaction information related to your use of the payment processing services provided by the Payment Processor.

 

17.4 Payout policy. Initial and final payment percentages will be determined and agreed to in your Agreement with BookInnerRetreats. BookInnerRetreats reserves the right to terminate any payment processing agreement or temporarily hold payout funds for any reason.

 

• Payout schedule
  • The Payout schedule is designed to maintain sufficient funds in your account in the event there are refunds or chargebacks.
  • BookInnerRetreats will transfer funds to the Owner via bank transfer or Paypal following the agreed to payout schedule on the 14th or 28th of each month or the following business day.
  • If you need to make changes to your bank information, such changes must be acknowledged by Retreat BookInnerRetreats at least 2 business days before the next regularly scheduled payout date.
• Bank fees
  • You may incur additional fees from your bank to accept a wire transfer, and additional fees from the payment processor for chargebacks and refunds.

 

17.5 Additional fees. BookInnerRetreats reserves the right to deduct any owed fees related to transactions, chargebacks, use of international credit cards, or other activities from your account prior to determining payout eligibility.

• Chargeback Transactions
  • A “chargeback” is a request that a purchaser files directly with their card company or card issuing bank to contest the validity of a processed payment.
  • The Owner will remain responsible for paying all fees and penalties related to a chargeback. You will owe BookInnerRetreats and will immediately pay BookInnerRetreats for any chargeback, associated fees, fines or penalties assessed by the Bank, or our Payment Processor. If you do not have sufficient funds available in your payout account to cover chargebacks or refunds, additional reserve funds will need to be sent immediately by wire transfer in accordance with the Additional Fees section above.
  • You understand that if you have pending chargebacks, BookInnerRetreats or the Bank may delay payouts to you.
  • BookInnerRetreats will notify you when a chargeback is received. You agree to assist BookInnerRetreats when requested and otherwise cooperate fully, at your expense, with any investigation of any of your transactions processed through BookInnerRetreats, payment processing service, until such investigation is completed. To that end, you permit us to share information about a chargeback with the Bank, the purchaser, the purchaser’s financial institution, and your financial institution in order to investigate and/or mediate a chargeback. We will request necessary information from you to contest the chargeback.
  • If the chargeback is contested successfully, we will release the reserved funds to your payout account. If a chargeback dispute is not resolved in your favour by the issuing bank or you choose not to contest the chargeback, we will recover the chargeback amount and any associated fees.
  • You acknowledge that your failure to assist us in a timely manner when investigating a transaction, including providing necessary documentation promptly upon our request, may result in an irreversible chargeback. We reserve the right, upon notice to you, to charge a fee for mediating and/or investigating chargeback disputes.
  • You acknowledge the outcome of chargeback verdicts are determined solely by our partner bank. You further acknowledge that BookInnerRetreatss’ sole role in chargebacks is to facilitate evidence submissions and pass on chargeback fees.
  • You hold BookInnerRetreats free of any liabilities from unfavourable chargeback outcomes.

 

18. User’s representations and warranties

You hereby represent and warrant that you have the full power and authority to enter into and perform under these Terms. If you are using our Services on behalf of any entity, you represent and warrant that you are authorised to accept these Terms on such entity’s behalf.

You hereby represent and warrant that you will use our Services in a manner consistent with any and all applicable local, state, national and international laws and regulations.

 

You are solely responsible for determining whether you have complied with travel restrictions to and from certain countries.

 

You hereby represent and warrant that you will not use the Services if the laws of your country prohibit you from doing so in accordance with these Terms (for example, if you are not allowed to provide the types of personal information that we require or if you are prohibited from participating in certain Internet activity). By using the Services, you represent and warrant that such use will not violate, or cause us to violate, the laws of your country.

 

19. Assignment

 

Commercial User may not assign any of its rights or delegate any of its obligations hereunder, in each case whether voluntarily, involuntarily, by operation of law or otherwise, without the prior written consent of BookInnerRetreats, which consent shall not be unreasonably withheld, conditioned, or delayed. Any purported assignment or delegation in violation of this Section will be null and void. No assignment or delegation will relieve the assigning or delegating Party of any of its obligations hereunder. This Agreement is binding upon and inures to the benefit of the Parties and their respective permitted successors and assigns.

20. Disclaimer of warranties

IF YOU USE OUR SERVICES, YOU DO SO AT YOUR SOLE RISK. OUR SERVICES ARE PROVIDED ON AN “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM, AND YOU WAIVE, ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND THE SERVICES, INCLUDING THE INFORMATION, CONTENT AND MATERIALS CONTAINED THEREIN.

WE DO NOT REPRESENT OR WARRANT THAT (A) OUR SERVICES WILL MEET YOUR REQUIREMENTS; (B) OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY INFORMATION THAT YOU MAY OBTAIN THROUGH OUR SERVICES WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH OUR SERVICES WILL MEET YOUR EXPECTATIONS; (E) ANY INFORMATION YOU PROVIDE OR WE COLLECT WILL NOT BE DISCLOSED TO THIRD PARTIES; OR (F) ANY ERRORS IN ANY DATA OR SOFTWARE WILL BE CORRECTED.

IF YOU ACCESS OR TRANSMIT ANY CONTENT THROUGH THE USE OF OUR SERVICES, YOU DO SO AT YOUR OWN DISCRETION AND YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY LOSS OR DAMAGE ARISING OUT OF SUCH ACCESS OR TRANSMISSION; THEREFORE, YOU SHOULD USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT AND DISINFECT VIRUSES FROM ANY DOWNLOAD.

 

NO DATA, INFORMATION OR ADVICE OBTAINED BY YOU IN ORAL OR WRITTEN FORM FROM US OR THROUGH OR FROM OUR SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

21. Indemnity

 

You shall defend, indemnify and hold harmless BookInnerRetreats (and each of our officers, directors, members, employees, agents and affiliates) from any claim, demand, action, damage, loss, cost or expense, including without limitation reasonable attorneys’ fees, arising out of or relating to

(a) your use of our Services; (b) any Member Content or Submissions you provide; (c) your violation of these Terms; (d) your violation of any rights of another; or (e) your conduct in connection with the Services. Further, if you are using the Services on behalf of any entity, you represent and warrant that such entity agrees to indemnify you and BookInnerRetreats for violations of these Terms in accordance with this Section. If you are obligated to indemnify us, we will have the right, in our sole and unfettered discretion, to control any action or proceeding and determine whether we wish to settle it, and if so, on what terms.

 

22. Force Majeure

In no event shall either Party be liable to the other Party, or be deemed to have breached this Agreement, for any failure or delay in performing its obligations under this Agreement, if and to the extent such failure or delay is caused by any circumstances beyond such Party’s reasonable control, including but not limited to acts of God, epidemics, pandemics, including the 2019 novel coronavirus disease (COVID-19) pandemic, flood, fire, earthquake, explosion, war, terrorism, invasion, riot or other civil unrest, strikes, labour stoppages or slowdowns or other industrial disturbances, or passage of law or any action taken by a governmental or public authority, including imposing an embargo.

 

23. Confidentiality

From time to time during the Term, either Party may disclose or make available to the other Party information about its business affairs, products, confidential intellectual property, trade secrets, third-party confidential information, and other sensitive or proprietary information, whether orally or in written, electronic, or other form or media/in written or electronic form or media, that is/and whether or not marked, designated, or otherwise identified as “confidential” (collectively, “Confidential Information”). Confidential Information does not include information that at the time of disclosure is: (a) in the public domain; (b) known to the receiving Party at the time of disclosure; (c) rightfully obtained by the receiving Party on a non-confidential basis from a third party; or (d) independently developed by the receiving Party. The receiving Party shall not disclose the disclosing Party’s Confidential Information to any person or entity, except to the receiving Party’s employees who have a need to know the Confidential Information for the receiving Party to exercise its rights or perform its obligations hereunder. Notwithstanding the foregoing, each Party may disclose Confidential Information to the limited extent required (i) in order to comply with the order of a court or other governmental body, or as otherwise necessary to comply with applicable Law, provided that the Party making the disclosure pursuant to the order shall first have given written notice to the other Party and made a reasonable effort to obtain a protective order; or (ii) to establish a Party’s rights under this Agreement, including to make required court filings. On the expiration or termination of the Agreement, the receiving Party shall promptly return to the disclosing Party all copies, whether in written, electronic, or other form or media, of the disclosing Party’s Confidential Information, or destroy all such copies and certify in writing to the disclosing Party that such Confidential Information has been destroyed. Each Party’s obligations of non-disclosure with regard to Confidential Information are effective as of the Effective Date and will expire five (5) years from the date first disclosed to the receiving Party; provided, however, with respect to any Confidential Information that constitutes a trade secret (as determined under applicable Law), such obligations of non-disclosure will survive the termination or expiration of this Agreement for as long as such Confidential Information remains subject to trade secret protection under applicable Law.

BookInnerRetreats may contain links or references to third party websites. Any such links are provided for your convenience only. We have no control over third party websites and accept no legal responsibility for any content, material or information contained in them. The display of any link or reference to any third party website does not mean that we endorse that website, product or service.

 

BookInnerRetreats may retract or change their Services at any time without notice or refund.

 

Our failure or delay in exercising any right, power or privilege under these Terms shall not operate as a waiver thereof.

 

The invalidity or unenforceability of these Terms shall not affect the validity or enforceability of any other of these Terms, all of which shall remain in full force and effect.

We may modify the Terms from time to time. You agree to be bound by any changes made by us. It is your responsibility to check the Terms from time to time to verify such changes.

 

25. Governing Law

 

This Agreement shall be governed by and construed in accordance with the laws of  State/Country in future registered company location of BookInnerRetreats. We make no representation that the services or products offered in the site are appropriate or available for use in any particular location. To access or use the Services, you must be able to form a binding contract with BookInnerRetreats and you must not be prohibited from receiving the Services under Estonian law or any other applicable laws.
